Amending Agreement to the Canada British Columbia Conservation Agreement for Southern Mountain Caribou in British Columbia

Between

His Majesty the King in Right of Canada,
as represented by the Minister of the Environment
(“Environment and Climate Change Canada” or “ECCC”)

And

His Majesty the King in Right of the Province of British Columbia,
as represented by the Minister of Environment and Climate Change Strategy and
the Minister of Water, Land and Resource Stewardship
(“British Columbia”)

(Collectively the “Parties, and individually a “Party”).

Whereas

1. The Parties entered into the Canada British Columbia Conservation Agreement for Southern Mountain Caribou in British Columbia pursuant to section 11 of the Species at Risk Act effective February 21, 2020 (“Original Agreement”);

2. The Original Agreement will expire on February 21, 2025 (“Original Term”); and

3. The Parties desire to amend the Original Agreement, in accordance with subsection 12.4 of the Original Agreement, to extend the duration of the Original Term.

Now therefore, the Parties, without prejudice to their respective constitutional powers, and in the spirit of cooperation, mutually agree as follows:

1. Capitalized terms used herein have the same meaning given to them in the Original Agreement.

2. The Parties agree to extend the term of the Original Agreement for One (1) year and 38 (thirty-eight) days (“Renewed Term”) from the expiration date. The newly extended term of the Original Agreement will be from February 21, 2025 to March 31, 2026.

3. Each Party represents and warrants that it has full power and authority to enter into this Amending Agreement and has taken all necessary actions to authorize the execution of this Amending Agreement.

4. All other provisions of the Original Agreement remain unamended. If there is a conflict between this Amending Agreement and the Original Agreement, this Amending Agreement will prevail.

5. If any question or dispute arises between the Parties over any provision of this Amending Agreement or the interpretation thereof on its effect, section 13 of the Original Agreement will apply.

6. This Amending Agreement may be signed in several counterparts and each counterpart (including electronic means) will constitute an original document; these counterparts taken together will constitute one and the same instrument. ECCC and British Columbia agree that executed counterparts may be transmitted by email (pdf format) or by mail and that such counterparts shall be treated as originally executed instruments. Each Party undertakes to provide the others with a copy of the original Amending Agreement bearing actual original signatures within a reasonable period of time following execution of this Agreement.

7. This Amending Agreement will be effective as of the date of the last signature affixed hereto.
